These terms constitute a legally binding agreement between you and HindsightGrid regarding your use of our AI-powered risk management platform.

Service Description

HindsightGrid provides AI-powered analytical services that examine historical decisions, benchmark against external signals, and generate structured insights and framework recommendations. Our platform is designed for organizational analysis and process improvement support.

We do not provide financial advice, investment recommendations, or regulatory compliance guidance. Our services focus on analytical tools and framework development capabilities.

User Accounts and Registration

To access our services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these terms.

Subscription Plans and Billing

Our services are provided on a subscription basis with various tiers based on team size and feature requirements. Subscription fees are billed in advance and are non-refundable except as required by law.

You authorize us to charge your designated payment method for all applicable fees. Failure to pay fees may result in service suspension or termination.

Data Upload and Processing

You retain ownership of all data you upload to our platform. By uploading data, you grant us a limited license to process, analyze, and generate insights from your information solely for the purpose of providing our services.

You represent and warrant that you have the right to upload and process all data provided to our platform and that such data does not violate any third-party rights or applicable laws.

Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these terms. You may not use our platform to upload illegal content, violate intellectual property rights, or engage in any activity that could harm our systems or other users.

Prohibited activities include attempting to reverse engineer our AI algorithms, sharing account credentials, or using our services for competitive intelligence against HindsightGrid.

Intellectual Property Rights

The HindsightGrid platform, including all software, algorithms, and analytical frameworks, is protected by intellectual property laws. We retain all rights, title, and interest in our proprietary technology.

You may not copy, modify, distribute, or create derivative works based on our platform without explicit written permission. All insights and reports generated remain your property, while the underlying technology remains ours.

Service Availability and Performance

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance, updates, and unforeseen technical issues may temporarily affect service availability.

We provide service level commitments as outlined in your subscription agreement, including uptime targets and response time objectives for different service tiers.

Limitation of Liability

To the maximum extent permitted by law, HindsightGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total liability for any claims related to our services shall not exceed the amount paid by you for the services during the twelve months preceding the claim.

Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

While we strive for accuracy in our AI analysis, we do not warrant that our insights will be error-free or that they will meet your specific requirements or expectations.

Indemnification

You agree to indemnify and hold harmless HindsightGrid from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

This indemnification includes reasonable attorney fees and costs incurred in defending against such claims.

Termination

Either party may terminate the service agreement with appropriate notice as specified in your subscription terms. We may immediately terminate or suspend access for violations of these terms or non-payment of fees.

Upon termination, your right to access our services ceases immediately, though data retention and deletion will follow our Privacy Policy and applicable legal requirements.

Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in Austin, Texas, except for claims that may be brought in small claims court.

You waive any right to participate in class action lawsuits or class-wide arbitration against HindsightGrid.

Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated through email or platform notifications at least 30 days before taking effect.

Continued use of our services after term modifications constitutes acceptance of the updated terms.
